Against its published line

Above its line on the last close.

How to read this

The red mark is the published kill line — the price that would prove the thesis wrong. The dot is where the name closed on 22 October 2026; a dot left of the mark has closed through its line.

Distance is drawn on a square-root scale, so close calls get the room. Past 8% a row reads well clear, with a hollow dot to show the figure is off the drawn scale. Rows run tightest first.

How a pick is graded

Kill line

A daily close below $7.90, under the $8.00 cash offer price, which would show the market pricing a real risk that the tender fails. Withdrawal of the offer or termination of the merger agreement would also end the case.

Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

The thesis

SoundThinking's shares now trade as a takeover spread. Transom Capital Group's tender offer pays $8.00 in cash plus one contingent value right (CVR) per share, and the tender expiry on 17 November 2026 decides whether that is what holders receive. Above the cash price, the shares can only gain if a rival bidder appears or the market raises its value of the CVR. That makes it unlikely the stock beats the S&P 500 over the next three months.

The last close was $8.40 on 21 October 2026, according to adjusted daily closes, which is above the $8.00 cash price. The market is giving the CVR some value, but the right cannot be transferred and pays nothing until 2027 revenue is counted. The narrative is saturated: the deal terms have been public since the 29 September 2026 announcement, and Transom's formal tender launch on 20 October 2026 repeated them without change.

Bullish and bearish views on SoundThinking, Inc.

The bull case on SoundThinking, Inc. (SSTI), in brief: Deal is fully financed, without a financing condition. The bear case: Cash upside is capped at $8.00.

Bull case

  • Deal is fully financed, without a financing condition. The Offer to Purchase filed 20 October 2026 states that Transom Capital Fund IV committed up to about $121 million of equity, about what Transom needs in total, and that neither the offer nor the merger depends on financing.
  • One-third of the shares are already committed. Veradace Partners (about 15.8%) and Gary Lauder and his affiliates (about 17.0%) signed agreements on 29 September 2026 to tender all their shares, per the company announcement. The minimum condition needs just over 50%.
  • The board backs the offer unanimously. SoundThinking's board recommends that stockholders tender, per the 20 October 2026 Offer to Purchase.
  • The CVR adds value at the margin. Each CVR pays $0.50 if 2027 ShotSpotter and SafePointe revenue reaches $73.5 million, rising in $0.05 steps to a $3.00 cap at $87 million, per the Offer to Purchase.

Bear case

  • Cash upside is capped at $8.00. If the deal closes, each share converts into $8.00 in cash plus the CVR. The 21 October 2026 close of $8.40 already sits above that cash price.
  • The CVR cannot be sold and pays late. Revenue is measured over calendar 2027, plus a 120-day continuation period for certain revenue, per the Offer to Purchase. A miss below $73.5 million pays nothing.
  • Analysts moved to the sidelines after the deal. Roth Capital cut its rating to Neutral with a $9 target on 30 September 2026, and Craig-Hallum kept a Hold rating while raising its target to $8.50 on 2 October 2026, per Benzinga.
  • The take-out is below the 52-week high. The $8.00 cash price is well below the $11.40 52-week high in adjusted daily closes. Holders who paid more may be slow to tender, which matters only if the 50% minimum is in doubt.

Price setup

The shares closed at $8.40 on 21 October 2026, 26.3% below the 52-week high of $11.40 and 1.6% above their level three months earlier, per adjusted daily closes. The 14-day relative strength index stands at 47.0, which is neutral. The price jumped about 50% on 29 September 2026, the day the deal was announced, per Benzinga, and has since traded close to the deal value.

The $8.00 cash price is the floor the market is watching. A close under it would show traders pricing a real chance that the tender fails. No retail-crowding data or insider sales into the post-deal price appear in public reports. The one observable crowding factor is the fixed tender expiry.

Catalysts, next 30 days

  • 17 November 2026: tender offer expires at one minute after 11:59 p.m. New York time, unless extended. If the minimum condition is met, Transom buys the tendered shares and moves to a second-step merger at the same terms.
  • ~Late November 2026, est.: second-step merger and delisting. Kirkland & Ellis, Transom's counsel, expects closing in the fourth quarter of 2026. After closing, the shares stop trading.
  • 28 March 2027: outside date under the merger agreement. This becomes relevant only if the tender is extended repeatedly.

What would change the view

A competing proposal above $8.00 in cash would reopen upside and change the read. A failed or repeatedly extended tender would mean the deal is in trouble, and the shares could fall back toward where they traded before the 46% premium was announced. For the takeover-spread reading, the price test is a daily close below $7.90, under the $8.00 cash offer. A withdrawn offer or a terminated merger agreement would also end it.

What it trades with

Until closing, the shares track the deal terms and the odds of completion, not the Nasdaq or the public-safety technology group. They sit in the M&A and special-situations group alongside Bumble, Braze, DXC Technology, SITE Centers, Tradeweb and Klaviyo, where takeover interest picked up again through October 2026. That group trend does not change SoundThinking's result, which depends only on its own tender. A broad market sell-off would mainly matter through any risk to Transom's equity commitment.

Notes

  • If the tender and second-step merger complete, SoundThinking shares stop trading on Nasdaq and each converts into $8.00 cash plus one CVR.
  • The contingent value right is non-transferable and will not trade. Any payout depends on 2027 ShotSpotter and SafePointe revenue, measured after calendar 2027 ends.
