How to read this
The red mark is the published kill line — the price that would prove the thesis wrong. The dot is where the name closed on 19 October 2026; a dot left of the mark has closed through its line.
Distance is drawn on a square-root scale, so close calls get the room. Past 8% a row reads well clear, with a hollow dot to show the figure is off the drawn scale. Rows run tightest first.
Kill line
A daily close below $17.50, the research threshold published 3 September 2026 and well under the $18.90 deal price. A termination announcement, a US second request or a failed stockholder vote would also break the case.
Last pick High conviction, to : −0.2% against the S&P 500's +0.7%. Trailed the S&P 500 · conviction cut below medium.
How picks are graded →The thesis
Varex Imaging Corporation is a deal-completion case with capped upside: Teledyne Technologies agreed on 10 August 2026 to pay $18.90 per share in cash, and the shares closed at $18.47 on 15 October 2026. The US antitrust waiting period ends at 11:59 p.m. Eastern on 16 October 2026, and the stockholder vote on 28 October 2026 settles the next step toward the early-2027 close the companies guided to.
The narrative is saturated: the price has been anchored to the cash offer since the 10 August 2026 announcement, and Sidoti cut its rating to Neutral that day. Oppenheimer moved to Perform on 11 August 2026. The shares gained 73.9% over three months to 15 October 2026, almost all of it on the announcement. No new company news or filings have appeared since the 2 October 2026 note.
The 21 September 2026 definitive proxy still sets the timetable. It records Hart-Scott-Rodino (HSR) antitrust filings on 16 September 2026, a record date of 16 September 2026 and a virtual special meeting at 4:30 p.m. Mountain Time on 28 October 2026. Definitive proxy
Completion is guided for early 2027, close to or after the end of the three-month window this rating covers. Gains before then come only from the remaining gap to $18.90 narrowing, which is why the evidence does not favour beating the S&P 500. A daily close below $17.50 would break the case.
Bullish and bearish views on Varex Imaging Corporation
The bull case on Varex Imaging Corporation (VREX), in brief: No financing condition. The bear case: Six foreign reviews remain.
Bull case
- No financing condition. The 10 August 2026 merger agreement pays fixed cash consideration and does not depend on Teledyne raising funds. 8-K
- US antitrust clock is nearly run. The definitive proxy dates HSR waiting-period expiry to 11:59 p.m. Eastern on 16 October 2026 unless it is ended early or extended. Expiry without a second request would remove the main US regulatory step.
- Fairness opinion supports the price. Evercore delivered an opinion dated 9 August 2026 that $18.90 per share is fair to stockholders, according to the definitive proxy.
- Break fee and long runway. The agreement carries a $25.3 million company termination fee and an outside date of 10 May 2027, extendable to 10 August 2027, per the definitive proxy.
Bear case
- Six foreign reviews remain. The proxy lists merger-control reviews in Austria, China, Germany, Japan, Saudi Arabia and Ukraine, plus UK National Security and Investment Act clearance. A slow review in China or the UK would push completion past early 2027. Preliminary proxy
- High vote threshold. Adoption requires a majority of all outstanding shares, so shares not voted count against the deal at the 28 October 2026 meeting.
- Weak standalone cash generation. The 10-Q for the quarter ended 3 July 2026 reported nine-month operating cash flow of $3.4 million against $33.8 million a year earlier. A failed deal would leave the shares resting on that business. 10-Q
- Asymmetric payoff. The most a holder of the shares can collect under the agreement is $18.90. If the deal breaks, the shares would likely fall back toward their pre-announcement price.
Price setup
The shares closed at $18.47 on 15 October 2026 (adjusted daily closes), 0.6% below the 52-week high of $18.58 and below the $18.90 cash price. The 14-day relative strength index (RSI) read 52.4, a neutral level. It was 54.8 on 1 October 2026.
The price has moved in a narrow range just under the cash price for weeks. That pattern matches a stock pinned by a fixed offer and not one carrying fresh buying interest. The $17.50 invalidation level sits well below the current price, so a close there would reflect a deal-risk event more than ordinary trading.
Crowding evidence is limited. No heavy retail attention, insider selling or share issuance has been reported in company news or filings since the announcement. The next dated events are the antitrust expiry and the stockholder vote.
Catalysts, next 30 days
- 28 October 2026: Special stockholder meeting at 4:30 p.m. Mountain Time. Approval by a majority of outstanding shares removes the vote condition.
- ~2026-11, est.: Fiscal fourth-quarter and full-year 2026 results. Varex cancelled its fiscal third-quarter call because of the transaction, so a call may not be held.
- ~2027-01, est.: Targeted completion and cash payment of $18.90 per share, after the foreign clearances.
Elapsed catalysts
- 16 October 2026: HSR waiting period expires at 11:59 p.m. Eastern. A second request would push completion out by months. (passed 4d ago)
What would change the view
The case breaks if the merger fails to close at $18.90: a termination announcement, a US second request, a failed or adjourned stockholder vote, or a foreign review that pushes completion beyond the 10 May 2027 outside date. A daily close below $17.50 would signal the market pricing one of these outcomes.
A superior proposal from another bidder would lift the ceiling and change the framing from a capped-upside case. No such proposal has been reported as of 16 October 2026.
A fiscal fourth-quarter report showing another quarter of negligible operating cash flow would add to the fallback risk if the deal fails, though it would not alter the contract price.
What it trades with
The shares trade on Teledyne's offer and on regulatory timing, so their moves track deal-risk headlines more than medical-imaging demand or broad equity indexes. Teledyne's own share price does not change the cash consideration, since the offer is all cash. Other pending cash acquisitions share the same exposure to antitrust and financing-market stress. No theme cluster currently carries this name.
Notes
- All-cash deal signed 10 August 2026 at $18.90 per share, so upside is capped by contract unless a superior proposal emerges.
- Merger agreement terms include a $25.3M company termination fee and a 10 May 2027 outside date, extendable to 10 August 2027.
- Stockholder adoption requires a majority of shares outstanding, so unvoted shares count against the deal.
- Varex cancelled its fiscal Q3 2026 earnings call because of the pending transaction. Its fiscal year ends in early October.
- On completion the shares are delisted from Nasdaq and stop trading.
