Above its line on the last close.
How to read this
The red mark is the published kill line — the price that would prove the thesis wrong. The dot is where the name closed on 22 October 2026; a dot left of the mark has closed through its line.
Distance is drawn on a square-root scale, so close calls get the room. Past 8% a row reads well clear, with a hollow dot to show the figure is off the drawn scale. Rows run tightest first.
Kill line
A daily close below $29.00, a level that would show the market pricing real risk to the $32.05 cash deal. A second antitrust request that pushes closing beyond the first half of 2027, or a failed stockholder vote, would also break the case.
Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

How picks are graded →The thesis
Option Care Health now trades as a pending cash takeover. Clayton, Dubilier & Rice (CD&R) and McKesson agreed on 6 October 2026 to pay $32.05 per share, so the stock's upside is capped near that price until the deal closes or breaks. The deal is expected to close in the first half of 2027. Before then, the shares are more likely to lag the S&P 500 in a rising market than to lead it. What decides the case is deal progress: the shareholder vote, antitrust clearance and the 4 November 2026 third-quarter report.
The $32.05 price is about 37% above the 5 October close, according to InsideArbitrage. The 21 October close of $31.29 sits just below it, which means the market sees completion as likely. Four brokers downgraded the shares to neutral-equivalent ratings between 7 October 2026 and 9 October 2026. The narrative is saturated: the takeover price was public on 6 October 2026, the downgrades followed within three days, and since then the shares have moved only with the odds of the deal closing.
Bullish and bearish views on Option Care Health, Inc.
The bull case on Option Care Health, Inc. (OPCH), in brief: Cash price with a strategic co-buyer. The bear case: Upside capped at $32.05.
Bull case
- Cash price with a strategic co-buyer. CD&R will own about 51% and McKesson will invest about $1.4 billion for about 49%, according to McKesson's 6 October 2026 release. The agreement also gives McKesson a framework to buy CD&R's stake later, which shows a long-term strategic owner is behind the price.
- The premium sets a high floor. InsideArbitrage put the premium at 37.14% over the last pre-announcement close and the deal value at 14.13 times EBITDA (earnings before interest, taxes, depreciation and amortization) on 6 October 2026. A rival bid would have to beat that.
- The business was steady before the deal. Second-quarter 2026 adjusted EBITDA rose 3.0% to $117.5 million and adjusted diluted earnings per share rose 9.8% to $0.45, the company reported on 29 July 2026. It also repurchased $150 million of stock in that quarter.
- Management and structure stay in place. Option Care Health will continue as a standalone company under its current management team, according to the 6 October 2026 deal terms reported by InsideArbitrage. That lowers the risk of disruption before closing.
Bear case
- Upside capped at $32.05. The 21 October close of $31.29 leaves only a small gap to the cash price. Over the next three months the shares can outperform the index only if the market falls or a higher bid appears.
- Long road to closing. The company expects the deal to close in the first half of 2027, subject to a stockholder vote and regulatory approvals. That leaves months of event risk for a small, fixed payoff.
- Weak growth limits the fallback value. Second-quarter 2026 net revenue grew 1.9% to $1,442 million, according to the 29 July 2026 release. If the deal broke, the shares would trade on that growth rate again, without the takeover premium.
- Sell-side support has stepped back. William Blair, Citizens and Barrington Research downgraded the shares to Market Perform on 7 October 2026. UBS cut to Neutral on 9 October 2026 and set its target at the $32.05 deal price, according to Benzinga.
- The deal price sits below the 52-week high. The 52-week high in adjusted daily closes is $36.59. Some holders may argue the price undervalues the company, which adds a small risk to the vote.
Price setup
The shares closed at $31.29 on 21 October 2026. That is 14.5% below the $36.59 52-week high and 44.5% above their level three months earlier, measured on split- and dividend-adjusted daily closes. Almost all of the three-month gain came from the jump on 6 October 2026, when the deal was announced.
The 14-day relative strength index (RSI) reads 99.0 on adjusted closes. Benzinga listed the stock as overbought on 16 October 2026. This reading is a side effect of a price pinned just under a cash offer, so it says nothing about momentum. Crowding comes from deal-focused buyers, and retail attention has been limited to trending-stock lists on 7 October 2026. No insider selling or share issuance has been reported since the announcement.
Two prices matter. The ceiling is the $32.05 deal price, unless a higher bid appears. A drop well below the post-announcement range would show the market doubting the deal.
Catalysts, next 30 days
- 4 November 2026: third-quarter 2026 results, released without a live conference call. The company withdrew its prior guidance because of the pending transaction, according to The Fly via TipRanks. The quarter matters because a sharp earnings miss could test the buyers' commitment. Before withdrawing guidance, the company had guided to low-to-mid single-digit sequential revenue growth.
- Date not announced: preliminary proxy statement. This filing will set out the background of the sale, any rival interest and the termination fees, none of which have been widely reported.
- Date not announced: antitrust waiting period. Clearance under the Hart-Scott-Rodino Act, or a request for more information from regulators, is the main regulatory event before closing.
- First half of 2027 (company estimate): expected closing.
What would change the view
The case breaks if the deal is in doubt. That would show up as a second request from federal antitrust regulators that pushes closing beyond the first half of 2027, financing or approval problems at McKesson or CD&R, or opposition from major holders ahead of the vote. If any of these happened, the shares would trade back toward the business on its own, with net revenue growing 1.9% in the second quarter of 2026. A daily close below $29.00 would show the market pricing real risk to the $32.05 deal.
The read would turn more positive if the proxy revealed rival bidders or a competing offer above $32.05 became public. Either event would lift the cap that drives the current rating.
What it trades with
While the deal is pending, the shares track the odds of the deal and short-term interest rates, which set the cost for deal-focused buyers. They move less with the managed-care and health-services group (EVH, DOCS, AMN, MCK), which has cooled from saturated to maturing over the past month. McKesson is a direct counterparty: news on its balance sheet or strategy now affects Option Care Health's shares through the deal. Because the price is capped, the shares have tended to lag a rising S&P 500 and to hold up better in a falling one.
Notes
- Option Care Health has agreed to be acquired for $32.05 per share in cash by CD&R (about 51%) and McKesson (about 49%). While the deal is pending, the share price is anchored to that figure.
- The company withdrew its financial guidance after signing the merger agreement and is releasing quarterly results without a live conference call.
- The merger agreement gives McKesson a framework to buy CD&R's stake later, subject to conditions and regulatory approvals.
