How to read this
The red mark is the published kill line — the price that would prove the thesis wrong. The dot is where the name closed on the last session; a dot left of the mark has closed through its line.
Distance is drawn on a square-root scale, so close calls get the room. Past 8% a row reads well clear, with a hollow dot to show the figure is off the drawn scale. Rows run tightest first.
Kill line
A weekly close below $0.50, one-third under the $0.75 offering price. Failure to repay, refinance or extend the remaining convertible principal by 15 November 2026 also breaks the case.
Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

How picks are graded →The thesis
Veritone's $15 million stock sale covers only part of its $45.58 million of convertible notes due 15 November 2026, and the shares still trade below the $0.75 offering price. Repayment, refinancing or extension of the remaining principal by that date settles the case.
The company priced 20 million common shares at $0.75 on 1 October 2026 in a registered direct offering, for about $13.8 million net, according to its Form 424B5 prospectus supplement. The adjusted daily close was $0.67 on 28 October 2026, up from $0.55 on 15 October 2026 and still under the offering price. The 14-day relative strength index (a momentum gauge where readings above 70 mark heavy buying and below 30 heavy selling) has risen to 61.0 from 13.4 on 15 October 2026.
The narrative is maturing: the financing story has been public since the 1 October 2026 prospectus, and a search of SEC filings through 29 October 2026 shows no company disclosure of the size or price of any note repurchase, exchange or extension. The prospectus and the 13 August 2026 second-quarter results both cite substantial doubt about the company's ability to continue as a going concern. The only company news since the last note is a product item: on 21 October 2026 Veritone said its Veritone Redact software now integrates with the Getac Video Suite. That item does not address the maturity.
Conviction stays low. The rebound in the shares is not news about the debt, and about $31.8 million of the principal is left after the offering's net proceeds, by the prospectus figures, with cash that was $12.7 million at 30 June 2026.
Bullish and bearish views on Veritone, Inc.
The bull case on Veritone, Inc. (VERI), in brief: Equity raise starts the debt paydown. The bear case: Proceeds fall well short of the maturity.
Bull case
- Equity raise starts the debt paydown. The 424B5 states that net proceeds, together with existing cash, will repay or restructure part of the convertible debt and fund working capital. Needham & Company and A.G.P./Alliance Global Partners placed the shares on 1 October 2026.
- Noteholder talks have worked before. In November 2025 the company repurchased about $45.7 million of the same notes for about $39.0 million of cash plus 625,000 common shares, per its 8-K. The notes carry a low 1.75% coupon.
- Recurring revenue base persists. Annual recurring revenue was $62.0 million at 30 June 2026, roughly flat year over year, with gross revenue retention above 90%, per the 13 August 2026 results release.
- Shares have recovered from the October low. The adjusted daily close rose to $0.67 on 28 October 2026 from $0.55 on 15 October 2026, and the three-month change is -38.6% against -47.2% on the earlier date.
- Insider and issuance restrictions run into December. The prospectus bars executive officers and directors from selling for 90 days and the company from new equity issuance for 60 days, with listed exceptions.
Bear case
- Proceeds fall well short of the maturity. Net proceeds of about $13.8 million compare with $45.58 million of principal outstanding, per the prospectus. Cash and restricted cash was $12.7 million at 30 June 2026, down from $27.7 million at 31 December 2025.
- Dilution came at a deep discount. Shares outstanding were 101.6 million on 28 September 2026 and are expected to be 121.6 million after the sale, per the prospectus. The offering price of $0.75 compares with a last reported Nasdaq price of $1.19 on 30 September 2026. Net tangible book value was negative $0.53 per share at 30 June 2026.
- Operations are shrinking. On 13 August 2026 the company cut FY2026 revenue guidance to $100–115 million from $130–145 million.
- Listing risk is building. The shares closed at $0.67 on 28 October 2026, under Nasdaq's $1.00 minimum bid. Nasdaq's rule requires 30 consecutive business days below $1.00 before a deficiency notice, so a notice is possible in mid-November if the shares stay under that line.
- Silence ahead of maturity. No 8-K on terms for the remaining notes had appeared by 29 October 2026, with 17 days to the maturity date.
Price setup
The adjusted daily close was $0.67 on 28 October 2026, 90.0% below the 52-week high of $6.72. The 52-week high figure is lower than the $8.39 in the previous note because the one-year window has rolled forward.
The shares sit 11% below the $0.75 offering price and 34% above the $0.50 weekly-close invalidation level in the previous note. The rise in the 14-day relative strength index from 13.4 to 61.0 reflects a two-week rebound from a deeply oversold reading. The shares remain far under the $1.00 Nasdaq minimum-bid line.
Crowding evidence is limited to the near-term event risk. Third-quarter results and the note maturity fall within three weeks, and the company's share issuance has been the dominant supply of stock. No Form 4 insider sales are reported since the offering, and officers and directors are restricted from selling for 90 days from 1 October 2026.
Catalysts, next 30 days
- Now to 15 November 2026: any 8-K on note repurchase, restructuring or extension terms. It would show how much of the $45.58 million remains and what holders accepted.
- ~12 November 2026, est.: third-quarter 2026 results. They update cash, bookings and FY2026 guidance days before the notes mature. The company reported third-quarter 2025 results on 6 November 2025.
- ~12 November to 18 November 2026, est.: the earliest window for a Nasdaq minimum-bid deficiency notice if the shares have closed under $1.00 on every business day since early October.
- 15 November 2026: the 1.75% convertible senior notes mature. Repayment, refinancing or extension of the remaining principal settles the financing case; failure rejects it.
What would change the view
The case breaks if the remaining convertible principal is not repaid, refinanced or extended by 15 November 2026, or if the company discloses a default. A third-quarter report with bookings below the $13.9 million of the second quarter, or FY2026 revenue guidance cut below $100 million, would also weaken it. A new equity or equity-linked issuance that pushes shares outstanding above 121.6 million would add to the dilution. The price condition is a weekly close below $0.50.
A disclosed agreement that retires or extends the notes at modest dilution would improve the financing case and would be a reason to revisit the rating.
What it trades with
Veritone sells AI-based media and public-safety software, but its share price is driven by its balance sheet and the note maturity, not by moves in AI software shares. The close of $0.67 on 28 October 2026 is far below $1.00, so the shares trade with other sub-dollar small caps that carry financing and listing risk. Veritone's price history over the past year has been set by its own results, guidance cut and offering.
Notes
- The 13 August 2026 results and the 1 October 2026 prospectus both flag substantial doubt about going-concern status tied to the November 2026 convertible maturity.
- A 60-day company restriction on new equity issuance and a 90-day officer and director sale restriction apply from the 1 October 2026 offering, with listed exceptions.
- The shares trade on Nasdaq under VERI below $1.00, which creates a Nasdaq minimum-bid compliance risk if the price persists.
