Kill line

A daily close below $10.20, under the price range held since early October, which would show the market pricing real risk to Copart's $10.50 takeover; a DOJ or FTC second request or termination of the merger agreement would also end the completion case.

Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

The thesis

ACV Auctions now trades as a pending cash takeover. Copart agreed on 10 September 2026 to buy it for $10.50 a share, and the shares closed at $10.47 on 13 October 2026, three cents under that price. The tender offer expires at 5 p.m. Eastern on 15 October 2026, and that expiry, together with antitrust clearance, decides whether the deal closes. With the gain capped near 0.3% and a deal break as the main open risk, the shares are more likely to lag the S&P 500 over three months than to lead it.

Copart's 10 September 2026 8-K puts the equity value at about $1.9 billion. The price is a 45% premium to ACV's unaffected close on 10 August 2026, the last session before press reports of a deal. That clears the majority minimum condition.

The open condition is the Hart-Scott-Rodino (HSR) antitrust waiting period. Copart withdrew and refiled its HSR notice on 28 September 2026 to give the Department of Justice (DOJ) and Federal Trade Commission (FTC) more time, which set expiry at 11:59 p.m. Eastern on 13 October 2026. No second request had been announced as of 14 October 2026. The narrative is saturated: the $10.50 price has been public since 10 September 2026, Citigroup's target moved to that price on 14 September 2026, and the shares have sat a few cents below it since early October.

Bullish and bearish views on ACV Auctions Inc.

The bull case on ACV Auctions Inc. (ACVA), in brief: Minimum tender condition already met. The bear case: Upside capped at the $10.50 offer.

Bull case

  • Minimum tender condition already met. Copart reported 52.84% of ACV shares tendered and not withdrawn as of 7 October 2026, above the more-than-half threshold. On 30 September 2026 the figure was about 47.8%, so tenders were still rising.
  • Antitrust clock was set to expire. After the 28 September 2026 refiling, the HSR waiting period was scheduled to end at 11:59 p.m. Eastern on 13 October 2026. No DOJ or FTC second request had been reported as of 14 October 2026.
  • No financing condition. Copart said on 10 September 2026 that it will fund the purchase with cash on hand.
  • Long outside date protects the deal. New Moon Special Situations' review of the merger agreement puts the outside date at 10 September 2027. It adds a 180-day extension for HSR or restraint-related delays, so a slower review would postpone closing without automatically ending the deal.

Bear case

  • Upside capped at the $10.50 offer. The 13 October 2026 close of $10.47 leaves three cents a share of gain. No competing bid has been reported since the 10 September 2026 agreement.
  • Regulators already asked for more time. Copart's 28 September 2026 withdrawal and refiling gave the DOJ and FTC a second 15-day review window. A second request would push closing out by months. The shares would then likely trade at a wider discount to $10.50 while the index keeps compounding.
  • A broken deal removes a 45% premium. Copart priced the offer 45% above the 10 August 2026 unaffected close. If the merger agreement is terminated, the shares lose the anchor that has held them near $10.50.
  • Analysts see no room above the deal. Citigroup kept a Neutral rating and raised its target to $10.50 on 14 September 2026. CJS Securities downgraded the shares to Market Perform on 15 September 2026.

Price setup

The shares closed at $10.47 on 13 October 2026. That is 0.3% below the 52-week high of $10.50, which equals the offer price. The 37.2% three-month gain came almost entirely from the August deal reports and the September agreement. The shares no longer move on ACV's own auction volumes.

The 14-day relative strength index (RSI) was 59.1 on 13 October 2026. Benzinga had flagged ACV on 6 October 2026 among industrials with RSI readings above 70, and on 17 September 2026 it noted unusually large options trades in the name. Those crowding signals describe event-driven trading around the deal price. A close below $10.20 would mean the market is pricing real risk that the $10.50 payment slips or fails. That level sits under the price range the shares have held since early October; New Moon Special Situations cited a $10.45 close on 1 October 2026.

Catalysts, next 30 days

  • 15 October 2026, 5 p.m. Eastern: the tender offer expires. If the HSR waiting period has ended and the other conditions hold, Copart can accept the tendered shares. If it has not, another extension is the likely announcement.
  • ~16 October 2026, est.: the second-step merger. Once Copart accepts the tender, a Copart subsidiary merges with ACV. Untendered shares are cancelled and converted into the right to receive $10.50 in cash, per Copart's 10 September 2026 announcement.
  • Copart's tender results release, ~16 October 2026, est.: this release should confirm the final tender count and the HSR status.

What would change the view

Several things would break the completion case: a DOJ or FTC second request, another extension announced without confirmed HSR clearance, a fall in tendered shares below the majority threshold, or termination of the merger agreement. Each would leave the shares priced on deal odds and could pull them toward the pre-deal price. A competing offer above $10.50 would change the read in the other direction. None has been reported as of 14 October 2026. On price, a daily close below $10.20 would show the market treating the deal as at risk.

What it trades with

ACV shares move with the odds and timing of Copart's $10.50 payment. Their link to the S&P 500 or to used-vehicle auction volumes is minimal while the deal is pending. The outcome depends on Copart (CPRT) and its antitrust review. The other names grouped under M&A and special situations (MAT, XPOF, SNX) share that label only, and their outcomes do not drive ACV's. A broad market rally would not lift ACV above the offer price. A sell-off would matter only if it put Copart's commitment in question, and its cash funding makes that unlikely.

Notes

  • ACV Auctions is subject to a pending all-cash acquisition by Copart at $10.50 per share under a merger agreement signed 10 September 2026.
  • When the merger closes, untendered ACV shares are cancelled and converted into the right to receive $10.50 in cash, and the stock is expected to stop trading.
