Against its published line

Above its line on the last close.

How to read this

The red mark is the published kill line — the price that would prove the thesis wrong. The dot is where the name closed on 30 October 2026; a dot left of the mark has closed through its line.

Distance is drawn on a square-root scale, so close calls get the room. Past 8% a row reads well clear, with a hollow dot to show the figure is off the drawn scale. Rows run tightest first.

How a pick is graded

ADTADT Inc.
$9.50
$9.86
+3.8%

Kill line

A daily close below $9.50, which would show the market seriously doubting that the $10.00 cash deal closes. A U.S. antitrust second request, a failed stockholder vote or termination of the merger agreement would also break the case.

Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

The thesis

ADT is now a pending cash takeover. Thrive Holdings agreed on 29 October 2026 to pay $10.00 per share, and the shares closed at $9.87 that day, so almost all the gain is already in the price. Two things decide what happens from here: whether a rival offer emerges before the go-shop window closes on 28 November 2026, and whether the deal clears its stockholder vote and U.S. antitrust review by its first-quarter 2027 target.

Without a competing offer, the shares can gain only the small gap below $10.00 before closing. That makes it unlikely they outperform the S&P 500 over three months, unless the broad market falls. The narrative is saturated: the 45.6% premium is public, a deal-target story attracts little new buying, and the shares stopped just under the cash price on the day of the announcement.

Bullish and bearish views on ADT Inc.

The bull case on ADT Inc. (ADT), in brief: Cash price with committed financing. The bear case: Upside capped at $10.00.

Bull case

  • Cash price with committed financing. ADT's 29 October 2026 8-K press release sets $10.00 per share in cash. It values the equity at about $7.6 billion and the enterprise at about $15.3 billion. Affiliates of Apollo Global Management are the sole financing providers, and the deal has no financing condition.
  • Unanimous board approval at a large premium. ADT's board approved the deal unanimously. The price is 45.6% above the unaffected $6.87 close on 27 October 2026 and 52.1% above the 30-day volume-weighted average price, according to the same release.
  • A 30-day go-shop allows a rival offer. ADT may solicit competing proposals until 11:59 p.m. New York time on 28 November 2026. Some bidders can get a 10-day extension. A higher offer is the only route to upside above $10.00.
  • Limited apparent antitrust overlap. The release says Thrive Holdings owns more than 75 businesses across accounting, IT services and the built environment, including Current and Shield. On that description, the buyer has no large home-security business to set against ADT's.

Bear case

  • Upside capped at $10.00. The $9.87 close on 29 October 2026 sits just under the cash price. Without a competing offer, the remaining return to closing is a few cents a share, earned over months.
  • Pre-deal value sat far lower. Morgan Stanley kept an Equal-Weight rating and cut its target to $7.25 on 13 October 2026, two weeks before the deal. If the deal breaks, the obvious reference is the $6.87 unaffected close.
  • Several approvals remain. Closing requires ADT stockholder approval, U.S. antitrust clearance and customary conditions. The companies target the first quarter of 2027.
  • Termination fee terms not yet public. The 29 October 2026 release mentions that ADT could owe a termination fee in some circumstances but gives no amount. The full merger agreement and proxy will set the cost of a competing offer.

Price setup

On 29 October 2026 the shares closed at $9.87, a 52-week high, and rose 26.2% over three months on split- and dividend-adjusted daily closes. The 14-day relative strength index was 92.6. That reading reflects a single-day repricing to a fixed cash offer, not momentum buying. Benzinga reported an intraday high of $9.93 that day, a 33.9% gain.

With a $10.00 cash price agreed, the stock should trade like a fixed-price claim. The gap below $10.00 measures how much the market doubts the deal will close. A widening gap would signal rising doubt about completion, while a move above $10.00 would mean traders expect a higher offer.

On crowding, the jump to a 52-week high on announcement day, the extreme relative strength reading and results due on 3 November 2026 are all observable. No filing so far shows insider selling or new share issuance into the move.

Catalysts, next 30 days

  • 3 November 2026: Third-quarter 2026 results before the market opens, with a 10 a.m. ET call. ADT will take no questions because of the pending deal. Because the price is fixed by the offer, the results matter mainly as a check that nothing has gone wrong in the business before closing.
  • 28 November 2026: The go-shop window closes at 11:59 p.m. New York time. A competing proposal is the only event that lifts the value above $10.00. Some bidders can extend the window by 10 days, to about 8 December 2026.
  • ~2026-12, est.: Proxy filing and the timeline for the stockholder vote. The filing should disclose the termination fees and the background of the sale.
  • Q1 2027 (company target): Expected closing, subject to stockholder approval and U.S. antitrust clearance.

What would change the view

The case for a quiet path to closing breaks if the deal itself weakens. That would show up as a U.S. antitrust second request, a failed or postponed stockholder vote, trouble with Apollo's financing commitment, or a material change in the business at the 3 November 2026 results that reopens the terms. In the market, a daily close below $9.50 would show doubt about completion rising well beyond a normal deal spread.

The case turns positive if a third party makes a superior proposal before the 28 November 2026 go-shop deadline, or before the extended deadline for qualifying bidders. That would change the setup from a capped deal spread to a contested sale.

What it trades with

While the deal is pending, ADT should track the $10.00 offer price rather than the S&P 500 or home-security peers. The main outside influences are merger-arbitrage spreads, credit conditions affecting Apollo-provided financing, and short-term interest rates, which set the return arbitrage traders require.

The M&A & special situations group (CART, PTC, SKYA, SLN, SGRY) has drawn more attention in weekly readings since 18 October 2026. ADT's outcome depends on its own go-shop, vote and antitrust review, not on how hot the group is. A cooling group would not change the $10.00 price.

Notes

  • ADT is subject to a definitive agreement to be acquired for $10.00 per share in cash; while the deal is pending, the shares trade against that fixed price.
  • The go-shop window runs until 11:59 p.m. New York time on 28 November 2026; some bidders can get a 10-day extension.
  • ADT will take no analyst questions on earnings calls while the transaction is pending, per the 29 October 2026 release.
