Current thesis

Post-spin margin-repair narrative is now fully written into sell-side models and no longer into the tape: five target raises through 2026-08-04 (TD Cowen $23) met a slide from $19.17 (7/31) to $17.41 (8/14), surrendering the July $17.73–$18.49 shelf. CFO seat is held by a director after a 2026-07-25 court order, and no company catalyst falls before the ~November Q3 print.

Kill line

A weekly close below $17 forfeits the pre-earnings base and the 50-day last observed at $16.68; secondary breaks: trailing-twelve-month book-to-bill slipping under 1.0x from 1.12x, or the $205M FY26 adjusted-EBITDA floor being cut at the ~early-November Q3 print.

Current Thesis

Since the 2026-08-01 note the fundamentals have not moved and the tape has. Q2 2026 (2026-07-29) is still the last company datapoint: adjusted EPS $0.23 against $0.18 consensus, revenue $678.2M against $647.465M consensus, FY26 adjusted EBITDA guided up to $205–220M from $190–220M and revenue to $2.620–2.690B from $2.550–2.650B. A fifth target raise landed on 2026-08-04 — TD Cowen to $23 from $19 — joining Truist $26, Evercore ISI $25 and Barclays $22 (all 2026-07-30) and Citi $22 (2026-07-31).

Against that stack of raises the closes ran $19.17 (7/31), $18.99 (8/10) and $17.41 (2026-08-14): 15.9% below the $20.70 52-week high printed 2026-07-28, RSI(14) at 41.7. The $17.73–$18.49 July consolidation zone the prior note identified now sits overhead. Five target raises inside six sessions produced no new closing high and no defence of that zone.

One correction to the prior note, which framed the November print as the first guidance-setting quarter for CFO Jason Knoblauch. Knoblauch became CFO on 2026-07-06; a Delaware court order dated 2026-07-25, obtained by his former employer over restrictive covenants, temporarily restrained him from serving; on 2026-07-27 the board named director David Smith — former Charles River Laboratories CFO — interim CFO, and Smith stepped off the audit and compensation committees to take it. Knoblauch remains on paid leave with his package intact. The November print will be delivered by a finance chief appointed under litigation, and the permanent seat is unresolved.

The narrative is saturated. Dated by 2026-08-04, when the fifth target raise in six sessions drew no new high, and by the 2026-08-14 close of $17.41 surrendering the July shelf. The leg being bought — post-spin cost-out plus a bookings recovery converting to revenue on a lag — is now fully written into sell-side models and is not clearing new buyers.

Bullish and bearish views on Fortrea Holdings Inc.

The model's bull view on Fortrea Holdings Inc. (FTRE), in brief: Q2 2026 beat both lines (2026-07-29) — adjusted EPS $0.23 vs $0.18 consensus; revenue $678.2M vs $647.465M consensus; adjusted EBITDA $58.7M vs $54.9M in Q2 2025. The bear view: Revenue is still shrinking while peers compound — Q2 revenue $678.2M, −4.5% YoY from $710.3M, against Medpace Q2 revenue $707.3M (+17.2% YoY, 1.13x book-to-bill) and IQVIA Q2 revenue $4.37B with raised full-year guidance. Both cases follow in full.

Bull Case

  • Q2 2026 beat both lines (2026-07-29) — adjusted EPS $0.23 vs $0.18 consensus; revenue $678.2M vs $647.465M consensus; adjusted EBITDA $58.7M vs $54.9M in Q2 2025.
  • The guide floor moved, not just the band — FY26 adjusted EBITDA to $205–220M from $190–220M; revenue to $2.620–2.690B from $2.550–2.650B, midpoint above the $2.607B consensus.
  • Fourth straight quarter of book-to-bill above 1.0x — 1.06x in Q2 and 1.12x trailing twelve months on $720.4M of net new business; first-half awards up 19% YoY (Q2 call, 2026-07-29).
  • Cost-out is reaching the P&L — $18M of new gross savings in Q2, $34M gross and $19M net year to date (Q2 call, 2026-07-29).
  • Cash turned positive — Q2 operating cash flow $28.9M, free cash flow $19.9M, no revolver borrowings in H1 2026, roughly 35% of original post-spin debt repaid.
  • Every published target sits above the tape — TD Cowen $23 (2026-08-04), Truist $26, Evercore ISI $25, Barclays $22 (2026-07-30), Citi $22 (2026-07-31), against the 2026-08-14 close of $17.41.
  • End-market funding recovered — IQVIA cited roughly $25B of early-stage biopharma funding in Q1 2026, near double the year-earlier level, the input that feeds CRO RFP flow with a lag.

Bear Case

  • Revenue is still shrinking while peers compound — Q2 revenue $678.2M, −4.5% YoY from $710.3M, against Medpace Q2 revenue $707.3M (+17.2% YoY, 1.13x book-to-bill) and IQVIA Q2 revenue $4.37B with raised full-year guidance.
  • Both second-engine metrics went the wrong way — book-to-bill 1.15x (Q1) → 1.06x (Q2); backlog $7.800B at 2026-06-30 vs $7.846B at 2026-03-31.
  • The raise was a floor raise — the $220M adjusted-EBITDA ceiling was left untouched on 2026-07-29, capping how much of the guide change is genuine upside versus removal of the low tail.
  • Insider supply arrived into the post-print strength — Form 4 reporting shows CEO Anshul Thakral disposing of 99,869 shares at an average $19.16 on 2026-08-05, and a Form 144 filed 2026-08-06 covering 111,857 shares with approximate market value $2,026,110.58 through Fidelity; the filings tie the sales to tax withholding on RSUs vested 2026-08-04.
  • Governance overhang — the CFO hired 2026-07-06 was restrained by court order 2026-07-25 and a sitting director has run finance since 2026-07-27.
  • Leverage is structural — long-term debt $1,037.2M and total debt $1.12B against $168.6M cash at 2026-06-30, including $494.257M of 7.500% secured notes due 2030 after a $75.743M tender.
  • Concentration — top-10 customers were 55.4% of Q2 revenue and the largest 16.8%; a single programme cancellation moves reported backlog.

Setup & Price Structure

  • Reference close 2026-08-14: $17.41. Distance from the $20.70 52-week high: −15.9%. Three-month return +27.5%. RSI(14) 41.7 — out of the overbought zone that accompanied the late-July high, not yet at a washed-out reading.
  • Closing sequence around and after the print: $19.20 (7/27), $20.70 (7/28), $20.40 (7/29), $19.08 (7/30), $19.17 (7/31), $18.99 (8/10), $17.41 (8/14). The intraday 52-week high of $21.39 was set the week of 2026-07-28.
  • The $17.73–$18.49 July shelf has been lost on closes. Reference moving averages from 2026-07-31: 50-day $16.68, 200-day $13.77. Price now trades between the surrendered shelf and that late-July 50-day level, with no company event scheduled to break the range before roughly November.
  • Crowding observables (stated, not judged): five target raises in six sessions (2026-07-30 → 2026-08-04) with no new closing high; CEO share disposals reported 2026-08-05 and 2026-08-06 at $19.16 and $18.17/$18.06 weighted averages; short interest 10.26M shares, roughly 10.9% of float, on the late-July FINRA read; no earnings date inside 30 days; retail-facing coverage clustered in the 2026-07-29 → 2026-08-11 window (turnaround framing, guidance-raise framing, target-raise round-ups).
  • Volume confirmed the fade earlier: 3.24M and 3.16M shares on 7/28–29 against 1.95M and 1.91M on 7/30–31.

Catalyst Calendar (next 30 days)

  • ~2026-08-26 (est.) — FINRA semi-monthly short-interest publication covering the 2026-08-14 settlement date. Reads whether the ~10.9%-of-float short base was rebuilt through the slide from $19.17 to $17.41.
  • ~2026-09-10 (est.) — FINRA semi-monthly short-interest publication covering the 2026-08-31 settlement date.
  • No company-scheduled event falls inside 2026-08-16 → 2026-09-15. Q3 2026 results are expected ~early November 2026. The Delaware Court of Chancery action over Knoblauch's restrictive covenants has no publicly scheduled hearing date as of 2026-08-16.
  • ~early November 2026 (est.) — Q3 2026 results, the next test of the $205M adjusted-EBITDA floor and of whether book-to-bill holds above 1.0x for a fifth quarter.

What Would Change Our Mind

The structure that carried this from the June base is already partly gone: the $17.73–$18.49 July shelf was reclaimed by sellers within nine sessions of the best print since the spin, and five target raises could not hold it. What remains beneath is the pre-earnings base and the 50-day, last observed at $16.68 on 2026-07-31. A weekly close below $17 forfeits both and ends the leg. On the fundamentals, three observables would break it independently of price: trailing-twelve-month book-to-bill slipping under 1.0x from 1.12x; the FY26 adjusted-EBITDA floor being cut back below $205M at the November print; or backlog falling a second consecutive quarter from $7.800B while burn stays at or above 8.6%.

What would restore the leg and argue the saturated read is early: a weekly close back above $18.49 that recovers the July shelf; a Q3 book-to-bill at or above 1.10x with backlog turning up; a permanent CFO resolution that removes the interim arrangement; or a Q3 revenue line that stops contracting YoY while Medpace and IQVIA growth decelerates toward it.

Correlation Notes

  • CRO complex (MEDP, ICLR, IQV, CRL). Q2 2026 separated them: Medpace revenue $707.3M (+17.2% YoY) and IQVIA $4.37B with a raised full-year guide, against Fortrea's −4.5%. Sector-wide RFP or funding headlines still move all four together; company-specific results have not.
  • Early-stage biopharma funding. Bookings are levered to the funding cycle IQVIA sized at roughly $25B in Q1 2026; XBI-style biotech risk appetite is the upstream variable, with a multi-quarter lag into net new business.
  • Rates and credit. $1.12B total debt against $168.6M cash at 2026-06-30 makes the equity a higher-beta expression of credit conditions than the larger CROs; the 2028-06-30 term loan A maturity is the first hard date.
  • Short base. At roughly 10.9% of float, price action can decouple from CRO peers on squeeze-type days. That linkage is an inference from the short-interest level, not something the July tape demonstrated — the July high came on an earnings beat and gave back in three sessions.

Notes

  • Fortrea is a CRO spun from Labcorp in July 2023 — clinical-trial services, not a drug developer and not managed care. Theme screens routinely mis-tag it.
  • CFO seat is interim: director David Smith took it 2026-07-27 after a 2026-07-25 Delaware court order restrained Jason Knoblauch, CFO since 2026-07-06, who stays on paid leave.
  • A securities class action filed in 2025 over post-spin 2025 EBITDA targets and projected TSA exit savings remains unresolved.
  • Leverage is structural: long-term debt $1,037.2M at 2026-06-30; term loan A matures 2028-06-30, term loan B 2030-06-30, 7.500% secured notes due 2030.
  • Customer concentration is high: top-10 customers were 55.4% of Q2 2026 revenue and the largest 16.8%; one cancellation moves backlog materially.
  • Q3 2026 results are expected ~early November 2026. The 2026-08-05 date some data providers still list was superseded by the 2026-07-29 release.
