Kill line

A daily close below $50, which would mean the EQT shares on offer had lost value well beyond the $54.91 per share implied at announcement; a failed shareholder vote or a regulatory challenge to the EQT merger would also end the case.

Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

The thesis

Range Resources now trades as a stand-in for EQT stock. On 26 October 2026, EQT agreed to buy it for 0.987 EQT shares per Range share in an all-stock deal, with closing targeted for the first quarter of 2027. The takeover premium is already in the price. That leaves EQT's share price, natural gas prices and approval of the deal as the drivers of the next three months.

The market reacted fast. Benzinga reported Range up 15% on 26 October 2026, and TIKR and Yahoo Finance reported EQT shares down about 8% on the news. At announcement, TIKR said the terms valued Range at about $54.91 a share, a 20.6% premium to the prior Friday close. TIKR also said Range shares were trading in line with the value of 0.987 EQT shares.

The narrative is saturated. The takeover has been fully public since 26 October 2026, and the shares closed at a 52-week high of $56.38 on 27 October 2026. Texas Capital, which cut its rating after the announcement, does not expect a rival bid. Without one, outperforming the S&P 500 depends on EQT and Appalachian gas, and the evidence gives no three-month edge there.

Bullish and bearish views on Range Resources Corp

The bull case on Range Resources Corp (RRC), in brief: The deal value rises with EQT. The bear case: The premium has been paid.

Bull case

  • The deal value rises with EQT. Each Range share converts into 0.987 EQT shares (EQT 8-K, 26 October 2026). A recovery of the roughly 8% EQT lost on announcement would carry Range up with it. Freedom Broker kept a Buy rating on EQT with an $81 target after the deal.
  • The synergy targets are large. EQT guides to $325 million of base annual synergies within two years, with a path to more than $600 million (EQT 8-K, 26 October 2026). It also projects about $20 billion of cumulative free cash flow over five years at recent strip prices, with unlevered free-cash-flow breakeven below $2 per million British thermal units (MMBtu).
  • The last standalone quarter beat estimates. Range reported third-quarter 2026 adjusted earnings per share of $0.81 against a $0.77 estimate, on sales of $836.56 million against $798.59 million expected (company release, 27 October 2026). On 14 October 2026 the company had flagged a $58.1 million total derivatives gain for the quarter.
  • One analyst sees value above the deal. Mizuho kept an Outperform rating and raised its target to $67 on 27 October 2026, well above the $56.38 close that day.

Bear case

  • The premium has been paid. The $56.38 close on 27 October 2026 is above the $54 targets from Texas Capital and Freedom Broker, both set after the announcement. Texas Capital downgraded the shares and does not expect a topping bid.
  • EQT shareholders reacted badly. EQT fell about 8% on announcement day, per TIKR. EQT shareholders must approve issuing the new shares (EQT 8-K, 26 October 2026), so that reaction is a real approval risk.
  • The shares are stretched. On 27 October 2026 the 14-day relative strength index (RSI) stood at 91.3, the 3-month gain was 42.9% and the close set a 52-week high, based on adjusted daily closes.
  • Gas prices drive the combined company. The merged company would produce more than 9 billion cubic feet equivalent per day (Bcfe/d) (EQT 8-K, 26 October 2026). A weak winter gas price would hit EQT and Range shares together.
  • The deal takes months to close. Closing is targeted for the first quarter of 2027. Before then come regulatory clearances, a joint proxy statement and votes by both sets of shareholders.

Price setup

The shares closed at $56.38 on 27 October 2026, which was also their 52-week high. They were up 42.9% over three months, and the RSI of 91.3 sits far above the 70 reading usually treated as overbought. Before the deal, analyst targets clustered between $43 and $45: UBS $44 (2 October 2026), Truist $43 (5 October 2026), Morgan Stanley $45 (15 October 2026) and Susquehanna $44 (20 October 2026). That range roughly marks Range's standalone value in the sell-side's view.

Range's own chart now matters less than EQT's price, because the exchange ratio ties the two together. The level to watch is the value of 0.987 EQT shares. It was about $54.91 when the deal was announced, per TIKR.

Catalysts, next 30 days

  • Registration statement, not yet dated. EQT's 8-K says a Form S-4 with a joint proxy statement and prospectus will be filed with the Securities and Exchange Commission (SEC). The filing sets the timing of both shareholder votes.
  • Winter gas pricing, November 2026. Henry Hub prices at the start of heating season feed directly into both EQT and Range shares.
  • Deal closing, first quarter of 2027 (company target). This falls outside the 30-day window. The case turns on it, because closing turns Range shares into EQT stock.

No company event is dated within the next 30 days. Range and EQT both released third-quarter results on 27 October 2026 and canceled their earnings calls.

What would change the view

The case breaks if the deal fails. A rejection by EQT shareholders or a regulatory challenge would leave Range valued on its own, where pre-deal targets sat between $43 and $45. A sharp drop in EQT would also break it, since it pulls Range down at the 0.987 ratio, as would a fall in Henry Hub prices going into winter.

The read would improve with a rival offer for Range above the EQT terms. A sustained EQT recovery driven by rising gas prices would also lift it. A daily close below $50 would mean the EQT shares on offer had lost value well beyond the $54.91 per share implied at announcement.

What it trades with

Range shares should now track EQT almost one-for-one at the 0.987 exchange ratio. They are also exposed to Henry Hub natural gas prices and move with other Appalachian gas producers. The deal-driven group of seven names is heating up. Its other members (Braze, Surgery Partners, Instacart, PTC, Klaviyo and SLN) are in unrelated industries, so Range's read does not depend on that group. A cooling of deal activity elsewhere would not change the terms Range holders receive.

Notes

  • Each Range share is set to convert into 0.987 EQT shares when the EQT merger closes, targeted for the first quarter of 2027; Range shares are expected to stop trading after that.
  • The merger needs Range shareholders to adopt the agreement, EQT shareholders to approve the share issuance, and regulators to clear it.
  • Range and EQT canceled their third-quarter 2026 earnings calls after announcing the merger.
