Kill line

A daily close below $22.00, a discount to the $23.50 cash offer wide enough to show the market pricing a real chance the HealthSpan deal fails; a failed shareholder vote or a regulatory block would end the case outright.

Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

The thesis

Surgery Partners is now a pending cash takeover. The shares trade almost entirely on whether HealthSpan Partners completes its $23.50-per-share purchase. The adjusted close of $23.36 on 27 October 2026 sits just below that offer, so the most the shares can gain from here is the small remaining gap plus any higher bid. That makes them more likely to lag than to lead the S&P 500 over the next three months. The disinterested-shareholder vote and regulatory approvals before the expected first-quarter 2027 close decide it.

The deal was announced on 26 October 2026. HealthSpan Partners, an affiliate of the Catholic health system Bon Secours Mercy Health, values Surgery Partners at about $5.7 billion including debt, according to the company's press release filed with its 8-K. Bain Capital affiliates own about 39% of the shares. They will roll their stake into the buyer instead of taking cash, and they have signed an agreement to vote in favour.

The narrative is saturated: the takeover reached mainstream outlets including Benzinga, Yahoo Finance and The Motley Fool on 26 October 2026, and with the price fixed in cash, new buying cannot lift the shares much above $23.50.

Bullish and bearish views on Surgery Partners, Inc.

The bull case on Surgery Partners, Inc. (SGRY), in brief: Signed deal with committed financing. The bear case: Little room left to the offer price.

Bull case

  • Signed deal with committed financing. The 26 October 2026 press release says the buyer will pay with cash on hand and new debt, and Jefferies has committed the financing as sole initial underwriter. The deal has no financing condition.
  • Independent committee approved the price. A special committee of independent, disinterested directors negotiated the deal and unanimously recommended it, advised by Moelis & Company and Goodwin Procter, per the 26 October 2026 release.
  • Largest holder is locked in. Bain Capital affiliates, holding about 39% of shares, signed a voting and support agreement and will remain a significant partner after closing, per the 26 October 2026 release.
  • A break fee raises the cost of walking away. The merger agreement sets a termination fee of about $108.99 million in specified circumstances, according to the company's SEC filings of 26 October 2026.

Bear case

  • Little room left to the offer price. The adjusted close of $23.36 on 27 October 2026 is just under the $23.50 cash price. Absent a higher bid, the shares cannot rise much beyond it.
  • Offer sits below an earlier proposal. Bain Capital proposed $25.75 per share in cash in January 2025, according to Becker's ASC. Surgery Partners ended those talks without a deal in June 2025. That earlier, higher number gives minority holders grounds to resist the current price.
  • Minority holders have a real vote. Approval requires a majority of outstanding shares and a majority of votes cast by disinterested shareholders, per the 26 October 2026 filings. Bain's 39% does not count toward the second test.
  • Holder-rights firms are circling. Kaskela Law announced an investigation of the buyout on 27 October 2026. Suits of this kind can delay the vote even when they do not stop it.
  • A long wait for a fixed payout. Closing is expected in the first quarter of 2027, and the agreement's outside date is 23 July 2027 with extensions allowed. Cash in the meantime earns little more than the gap to the offer.

Price setup

The shares rose 46.9% over three months to an adjusted close of $23.36 on 27 October 2026, which is also their 52-week high. Nearly all of that gain came on one day. Benzinga reported the stock up 46.9% to $23.14 intraday on 26 October 2026, after a Financial Times report on 25 October 2026 that Bon Secours Mercy Health was in late-stage talks at about $20 per share. The Motley Fool reported a 26 October 2026 close of $23.25.

The 14-day relative strength index (RSI), a momentum gauge, reads 95.1. That extreme reading reflects the one-day jump to a fixed cash price. It says little about further upside, because the $23.50 offer now anchors the price.

Crowding signs are visible. The stock went from a 26 October 2026 halt with news pending to a top gainer list the same day. A sell-side downgrade arrived on 27 October 2026, when StoneX moved the shares to Hold. Before the deal, RBC Capital reiterated Outperform with a $19 target on 30 September 2026, a target the offer now exceeds.

Catalysts, next 30 days

  • ~9 November 2026, est.: third-quarter 2026 results. Surgery Partners reported its third-quarter 2025 results on 10 November 2025. No 2026 date is announced, and companies under a pending sale often drop the earnings call. Results matter only if they put the deal at risk.
  • First quarter 2027: expected closing. This follows the shareholder vote and regulatory approvals. The outside date is 23 July 2027.

Elapsed catalysts

  • Date not set: preliminary proxy statement. The proxy will disclose the background of the sale, the advisers' fairness analysis and any go-shop terms. None of those were in the 26 October 2026 press release. (passed 2d ago)

What would change the view

The case breaks if the deal fails or looks likely to. Three things would show that: disinterested holders voting the deal down, a regulator blocking or slowing it, or the buyer's debt financing falling apart. Any of these would send the shares back toward their pre-rumour level, well below the offer.

The rating would rise on a credible topping bid above $23.50 or a raised offer from HealthSpan. Bain's voting agreement and rollover make a rival bid less likely. A daily close below $22.00 would show the market pricing real completion risk.

What it trades with

While the deal is pending, the shares should move with the odds of closing far more than with the S&P 500, healthcare services stocks or ambulatory-surgery peers. A broad market rally would leave them behind. A broad sell-off would barely touch them unless it disrupts the buyer's debt financing.

The M&A & special situations group, which includes Range Resources after EQT agreed on 26 October 2026 to buy it, has been gaining attention through October 2026. That group trend does not change this read: a signed cash deal at a fixed price gains nothing from wider merger enthusiasm. It would matter only if a rival buyer emerged.

Notes

  • A signed cash merger at $23.50 per share caps the share price near the offer until the deal closes or terminates.
  • Bain Capital affiliates hold about 39% of shares and will roll over their stake rather than receive cash; their votes are excluded from the disinterested-holder approval test.
  • On completion, Surgery Partners will be privately held and its stock will be delisted from Nasdaq.
