Kill line
A daily close below $2.70, 10% under the $3.00 offer price, which would show the market pricing a real risk that the tender fails; failure of the 50% minimum condition or withdrawal of the offer would also end the case.
Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

SkyAI is now a cash tender-offer situation rather than an operating story. The shares closed at $2.93 on 29 October 2026, just below the company's $3.00 cash offer for up to 95% of its common stock. The offer expires on 12 November 2026, and completion of the offer decides the outcome. The remaining gain to the offer price is small. What is left of the company after the offer is a much smaller listed shell with an early-stage AI finance platform, so the case for the shares beating the S&P 500 over three months is weak.
The company, formerly Sharps Technology, sold its entire Solana (SOL) token treasury by 15 October 2026. It began the tender on 16 October 2026, according to company releases reported by Benzinga. The narrative is maturing: the offer has been public since 11 October 2026, the main dissident holder settled on 27 October 2026, and since then the price has tracked the offer price rather than news flow.
Bullish and bearish views on SkyAI, Inc.
The bull case on SkyAI, Inc. (SKYA), in brief: Cash covers the full offer. The bear case: Little room left to the offer price.
Bull case
- Cash covers the full offer. SkyAI reported about $223.8 million of cash as of 16 October 2026. Solana Compass reported a maximum offer cost of about $214.3 million after the 27 October 2026 amendment.
- The main opponent now tenders. Under the 27 October 2026 settlement, Bastion Trading, a holder of about 9.99%, agreed to tender 4,649,745 shares, 4,234,615 cash pre-funded warrants and 5,384,615 cash stapled warrants. It also accepted a three-year standstill. That support helps the offer clear its 50% minimum condition in each class.
- Crypto price risk has been removed. All SOL sales were completed on 15 October 2026, at a reported recent average of $107.51 per token net of fees. The 19 October 2026 release states that the offer is not conditioned on the price of SOL.
- The board rejected an alternative. On 11 October 2026 the board turned down an unsolicited, non-binding proposal from Forward Industries of 0.306 Forward shares per SkyAI share, saying it undervalued the company.
Bear case
- Little room left to the offer price. The $2.93 close on 29 October 2026 sits just under the $3.00 offer, and at most 95% of common shares can be bought at that price. The rest of the value depends on what the untendered shares are worth.
- The remaining shares are a small, uncertain residue. The company plans to stay listed on the Nasdaq Capital Market. It says the remaining cash will fund its agentic AI finance platform, operating costs and existing obligations, and it has not stated a cash balance after the offer.
- The offer was priced below net asset value. The company's 19 October 2026 release put the $3.00 price at about 0.95 times net asset value. Bastion argued before the settlement that the price was too low.
- The board takes no side. According to the 27 October 2026 release, the board approved the offer and the amendments but makes no recommendation on whether holders should tender.
- Governance friction preceded the deal. On 30 September 2026 Bastion urged a board overhaul after directors drew more withheld votes than votes in support, Benzinga reported.
Price setup
The shares closed at $2.93 on 29 October 2026, 40.9% below the 52-week high of $4.96 and up 127.1% over three months, based on adjusted daily closes. The 14-day relative strength index (RSI) stood at 87.8, an extreme reading. Here it reflects the jump toward a fixed cash offer, not open-ended buying.
On 12 October 2026, the first session after the offer was announced, the shares rose 41.8% to $2.58 intraday, when Benzinga put the market value at $78.7 million. Since then the price has stayed below $3.00. Crowding is visible as a sharp gap above recent trading ranges and an event date two weeks away. No insider selling or new share issuance appears in recent company news.
Catalysts, next 30 days
- 12 November 2026: The tender offer expires at one minute after 11:59 p.m. New York time, unless it is extended again or ended early. Completion depends on the 50% minimum in each class and on there being no competing proposal, no new holder above 5% and no expected Nasdaq delisting.
- ~13 November to 17 November 2026, est.: Preliminary tender results and any proration within the 95% cap. The results show how many shares stay outstanding.
- ~14 November 2026, est.: The third-quarter 10-Q filing. It should show the cash position before settlement and the operating cost of the AI platform.
What would change the view
The case for the shares holding near the offer price breaks if the offer fails or is withdrawn. Failing the 50% minimum, a competing proposal or a delisting notice would each trigger that. Completion ends the case in another way. After settlement, the listed shares represent only the untendered remainder and its plan for the AI platform. A daily close below $2.70, 10% under the $3.00 offer, would show the market pricing a real risk that the offer does not close.
The read would improve if the post-offer company disclosed a cash balance and costs that put the remaining shares near the offer price.
What it trades with
Since the SOL treasury was sold on 15 October 2026, the shares no longer move with Solana or other crypto assets. Until the offer expires, the price is tied to the $3.00 offer and largely independent of the S&P 500. The other names in the M&A and special-situations group (CART, ADT, PTC, SLN, SGRY) are separate deals. Rising activity across that group does nothing for SkyAI's outcome, which depends only on its own tender completing.
Notes
- SkyAI, Inc. was formerly Sharps Technology and adopted the SkyAI name in May 2026.
- The tender caps purchases at 95% of common stock; if more than 95% is tendered, shares are bought pro rata within the class.
- Split- and dividend-adjusted price histories do not reflect cash paid in a tender offer; after settlement the quoted price reflects only untendered shares.
- Bastion Trading is bound by a three-year standstill from 27 October 2026; the agreement ends if SkyAI does not complete the offer.

Tradeweb Markets met third-quarter expectations, with revenue up 14.9% to $584.5 million, and said October daily revenue ran 26% higher. The October volume report due around 4 November 2026 shows whether that pace holds while credit fees per trade fall.

Xeris Biopharma Holdings, Inc.
Xeris Biopharma's case rests on Recorlev, whose sales rose 81% in Q2 2026, and Lundbeck's reported takeover interest supports the shares. The 5 November 2026 third-quarter report shows whether Recorlev growth carries $385-390 million revenue guidance.
BRZE
Braze, Inc.
Salesforce's agreed $47.50-per-share cash takeover of Braze caps the shares near the offer, so they are more likely to lag the S&P 500 than lead it over three months. Antitrust and stockholder approvals, or a rival bid, decide what happens next.
