Kill line
A daily close below $32.50, which would put the shares further under the $33.00 cash portion of the offer and show the market doubts completion. An FTC suit to block the deal, a termination or cut in terms would also break the case.
Not a pickResearch coverage at low conviction. A medium-or-higher call would open a pick on the scoreboard.

How picks are graded →The thesis
Sanara MedTech's sale to MiMedx now faces a longer antitrust review, which weakens the case that it closes by 31 December 2026. The Federal Trade Commission (FTC) issued Second Requests to both companies on 15 October 2026, and the deal's timing now depends on how fast the parties comply and what the FTC decides.
The agreement pays $33.00 in cash plus 0.4735 MiMedx shares per eligible Sanara share, announced on 29 July 2026 as about $35 per share. Sanara closed at $32.88 on 22 October 2026, below the cash portion alone. The narrative has turned from a cleared deal to an open regulatory question: the shares closed at $35.07 on 9 October 2026 and have fallen since the 16 October 2026 filing of the Second Request. Shareholders approved the merger on 30 September 2026, so the vote no longer carries risk.
Bullish and bearish views on Sanara MedTech Inc.
The bull case on Sanara MedTech Inc. (SMTI), in brief: The vote removed shareholder rejection as a risk. The bear case: The FTC asked for more documents.
Bull case
- The vote removed shareholder rejection as a risk.
- Financing is committed. The 29 July 2026 announcement identifies a $300 million term-loan commitment from Hayfin Capital Management, and the merger agreement has no financing condition.
- The agreement runs well past year-end. The outside date is 29 July 2027, extendable to 29 January 2028 while antitrust approval is pending. A Second Request lengthens the review but does not end the agreement.
- The company is engaging with the FTC. Sanara's 8-K of 16 October 2026 says it continues to work constructively with the FTC. The FTC can also end the waiting period earlier than the 30 days after substantial compliance.
Bear case
- The FTC asked for more documents. The Second Request, received 15 October 2026, extends the Hart-Scott-Rodino waiting period until 30 days after substantial compliance. Closing remains subject to expiry or termination of that period, per the 8-K. The 8-K reporting gives no revised closing target.
- The shares trade below the cash portion. The 22 October 2026 close of $32.88 is under the $33.00 cash leg, so the market is assigning a meaningful chance of delay or failure. The 52-week high is $35.28.
- The stock leg floats. The 0.4735 MiMedx shares carry no disclosed collar, so the total value moves with MiMedx stock until closing.
- Standalone results weakened. Sanara reported second-quarter revenue of $28.137 million on 11 August 2026 against an analyst estimate of $28.950 million, per Benzinga. A terminated deal returns the shares to those results, and the company gave no full-year 2026 guidance.
- Analyst target caps the upside. HC Wainwright's target after its 30 July 2026 downgrade to Neutral is $35, which equals the value announced at signing.
Price setup
Adjusted daily closes put Sanara at $32.88 on 22 October 2026, 6.8% below its 52-week high of $35.28. The shares closed at $35.07 on 9 October 2026, before the Second Request. They gained 27.2% over three months, almost all of it on the 29 July 2026 deal announcement. The 14-day relative strength index (a 0-100 momentum gauge) reads 14.7, which marks an unusually sharp recent decline.
The $33.00 cash portion and the $32.50 close named in the invalidation condition are the nearest reference levels. The shares moved from trading above the announced deal value to below the cash portion within two weeks. Merger-linked shares of this kind usually trade on deal timing and completion odds rather than operating news. Crowding evidence is absent: no insider selling or share issuance is reported.

What would change the view
The case breaks if the FTC sues to block the deal, if the agreement is terminated or its terms are cut, or if Sanara closes below $32.50 on a daily basis, which would put the shares further under the $33.00 cash portion. A company filing that sets a closing date inside the year-end window, or an FTC early termination of the waiting period, would strengthen it. The current rating reflects a closing date that has moved from likely to uncertain; a filed timing agreement with the FTC or a revised closing target would be the new facts that move it.
What it trades with
Sanara's price follows MiMedx's share price through the 0.4735-share leg and the FTC's decision through the cash leg. Broad medtech and wound-care sentiment matters less while the deal is pending. A termination would return the shares to a small-cap wound-care valuation, where second-quarter revenue of $28.137 million missed estimates.
Notes
- Under a signed merger agreement with MiMedx since 29 July 2026; company news flow is dominated by deal-process filings rather than standalone operating updates.
- The contractual outside date is 29 July 2027, extendable to 29 January 2028 if antitrust approval is still pending, well beyond the stated year-end 2026 target.
- Voting agreements covered about 38.9% of Sanara's voting power at signing; the non-solicit carries a fiduciary out with MiMedx match rights.
- Sanara's 11 August 2026 second-quarter release gave no full-year 2026 financial guidance, so the earlier $116-121M revenue range is no longer company-affirmed.
- The cash portion depends on a $300M committed term loan from Hayfin Capital Management; the merger agreement has no financing condition.
