Approximately 76.1 million shares had been sold under the $1.0B Chardan committed equity facility for roughly $647M net through 2026-07-15. Back at par, the facility converts share creation into tokens rather than sitting idle.
  • Per-participating-share arithmetic — INFERRED from filed inputs, not company-published. What Would Change Our Mind

The structure that has to hold is the 2026-08-20 shelf at $10.08 and, beneath it, the cluster where the 2026-08-19 close of $9.39 meets the $9.375 warrant strike. A daily close below $9.35 gives back the entire post-remark continuation and pushes the lowest warrant tranche back out of the money, which removes the argument that the re-rating is being validated by capital structure rather than by headline alone.
