A weekly close below $3.82 would fill the 2026-08-17 Lilly session entirely and leave the $3.38–$3.43 August shelf as the only support beneath — that is the thesis-break condition, and it is the level this note is graded on.

Three non-price conditions would do the same work more slowly. First, 2026-09-09 and 2026-09-15 passing with no new partner agreement and no revision to the $32–36M revenue guide, with price unable to reclaim $4.81 afterwards: at that point the story is fully known and the marginal bid has to come from somewhere new. Second, any registered offering, prospectus supplement or ATM takedown disclosed against the remaining Jefferies capacity — issuance into a doubled price would answer the financing question and reprice the equity in the same move. Third, a Q3 print (~2026-11-05, est.) showing license and milestone revenue below $5M with FY guidance left at $32–36M, which would date the flywheel to two quarters rather than a trend.

The opposite case is narrow and specific: a second undisclosed-upfront collaboration on the Lilly template, or a Q3 guide raise above $36M, would convert the milestone line from a pair of events into a run-rate argument.

  • Idiosyncratic on event days, beta on the rest.
